We reserve the right to accept or reject your application at our sole discretion, including but not limited to reasons such as incorrect or incomplete information, content on your site that is offensive, illegal, or violates intellectual property rights, or other reasons deemed appropriate by us.
c) Access to Affiliate Program
Upon acceptance, you will receive login details to access our secure affiliate center. From this center, you can download promotional materials and qualifying links, and access reports for affiliate commission calculations. You are responsible for keeping your login details secure.
d) Compliance with FTC Guidelines
You must be in good standing with the Federal Trade Commission (FTC) and comply with all applicable FTC guidelines. Specific requirements for Talent Corners Advisory affiliates are outlined on our website.
3. Specific Obligations of Affiliates
As a member of our Affiliate Program, you agree to:
a) Implement Referral Links
Implement the provided referral links and promotional materials on your website or promotional channels according to our referral specifications.
b) Maintain and Update Your Website
You are responsible for maintaining and updating your website to ensure that promotional content aligns with our current standards and guidelines.
c) Comply with Copyright Laws
Ensure your promotional content complies with all applicable copyright laws. We are not responsible for any violations.
d) Not Solicit Our Instructors
You may not directly or indirectly solicit our instructors to join other platforms or break existing contracts with Talent Corners Advisory.
e) Other Obligations
Follow additional specific obligations outlined by Talent Corners Advisory, including not engaging in activities like cookie-stuffing, spyware, malware, or using domain names that mimic our brand.
4. Affiliate Responsibilities
As a member of the Affiliate Program, you understand that:
a) We Can Monitor Your Site
Talent Corners Advisory reserves the right to monitor your website to ensure compliance with these Affiliate Terms.
b) Policy Control Over Referred Customers
Customers referred through the Affiliate Program are considered our customers. All terms, rules, policies, and procedures that apply to our users will apply to them.
c) Restrictions on Paid Advertising
You may not use paid advertising that leads directly to Talent Corners Advisory without explicit approval from us.
d) No Misuse of Company Name
You cannot use our company name or variations thereof in domain names or social media pages without prior approval.
e) No Cookie-Stuffing
Cookie-stuffing or similar practices are strictly prohibited.
f) Other Responsibilities
Ensure your promotional content is free from offensive or illegal material, and maintain transparency about your relationship with Talent Corners Advisory.
5. Affiliate Commissions
a) Eligibility for Affiliate Commissions
You are eligible to earn affiliate commissions through referred customers as defined in these terms.
b) Calculation and Payment
Affiliate commissions are calculated based on the terms specified in your affiliate account. Payments are made on a monthly basis according to your selected payment method.
c) Restrictions and Exceptions
Talent Corners Advisory reserves the right to withhold commissions if deemed illegal or if you violate these Affiliate Terms.
d) Additional Considerations
Talent Corners Advisory may withhold final payment to ensure accurate payments, and affiliates are responsible for all associated charges, fees, and taxes related to receiving payments.
6. Licenses and Trademarks
You grant Talent Corners Advisory a non-exclusive, non-transferable, revocable right to use your names, titles, and logos in advertising, marketing, promoting, and publicizing our rights under these Affiliate Terms.
7. Disclaimer of Warranties
Talent Corners Advisory makes no express or implied representations or warranties regarding the Affiliate Program, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We also do not guarantee that our website will be uninterrupted or error-free.
8. Limitations of Liability
Talent Corners Advisory will not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of revenue or goodwill. Further, our cumulative liability to you shall not exceed the total referral fees paid to you under these Affiliate Terms.
9. Indemnification
You agree to indemnify and hold Talent Corners Advisory harmless against any claims, suits, or other proceedings resulting from your breach of these Affiliate Terms. You will pay all costs, damages, and expenses, including reasonable attorneys’ fees.
10. Termination
Either party can terminate these Affiliate Terms at any time with or without cause by providing written notice. Termination does not absolve you from any obligations incurred prior to termination.
11. Modification
Talent Corners Advisory reserves the right to modify these Affiliate Terms at any time. You will be notified of significant changes, and continued participation in the Affiliate Program constitutes acceptance of the updated terms.
12. Miscellaneous
- Independent Contractors
These Affiliate Terms do not create any partnership, joint venture, employment, or other similar relationship between us.
a) Assignability
You may not assign your rights or obligations under these Affiliate Terms.
b) Governing Laws
These Affiliate Terms are governed by the laws of California without reference to conflicts of law principles. Any disputes will be resolved in accordance with our Terms of Use.
c) Entire Agreement
These Affiliate Terms represent the entire agreement between Talent Corners Advisory and the Affiliate, superseding any prior agreements or communications.
d) Severability
If any provision of these Affiliate Terms is found to be invalid or unenforceable, it shall be eliminated or limited to the minimum extent necessary, while the remainder of these terms remains in full force and effect.
