Launch Services Agreement

This Launch Services Agreement (“Agreement”) is entered into by and between [Customer Name] (“Customer”) and Talent Corners Advisory (“Provider”), and outlines the scope, terms, and conditions for launch services (“Launch Services”). By engaging Provider for Launch Services, Customer agrees to the terms and conditions outlined herein. This Agreement is supplemental to and incorporates by reference the Master Services Agreement (“MSA”). The terms and conditions of the MSA apply except as explicitly stated otherwise in this Agreement.

1. Scope of Launch Services

Provider will assign a dedicated project manager to assist Customer with the launch of the Services as detailed in Schedule A of this Agreement. The provision of Launch Services is contingent upon the Customer purchasing subscriptions to use the Services, which are provided pursuant to the MSA.

2. Customer Cooperation and Responsibilities

Customer agrees to cooperate in good faith and provide necessary assistance to ensure the successful completion of Launch Services. This includes, but is not limited to, the following:

  1. Resources and Tasks: Allocating sufficient resources and performing any necessary tasks to enable Provider to fulfill its obligations.
  2. Materials and Obligations: Timely providing any materials or other items required for Launch Services.
  3. Communication: Responding promptly to inquiries related to Launch Services.
  4. Project Manager Assignment: Designating an internal project manager to serve as the primary point of contact with Provider.
  5. Meeting Participation: Actively participating in scheduled project meetings.
  6. Access to Personnel: Providing access to appropriate and knowledgeable employees or agents as needed.
  7. Information Sharing: Sharing complete, accurate, and timely information, data, and feedback.
3. Term

This Agreement will remain in effect until the earlier of the following:

  1. Completion of Launch Services.
  2. Nine months from the date of the associated Order Form.
4. Fees and Expenses

All fees for Launch Services, including travel and related expenses, are due and payable according to the terms of the MSA and the Order Form. Invoicing will occur upon receipt of a signed Order Form.

5. Independent Contractor

Each party and its employees or consultants will operate as independent contractors, and this Agreement does not create any employment, partnership, or joint venture relationship.

6. Intellectual Property

Except as expressly set forth in this Agreement, neither party grants the other any express or implied Intellectual Property Rights.

7. Warranties and Disclaimer

Provider warrants that the Launch Services will be performed in a professional and workmanlike manner consistent with industry standards. For any breach of this warranty, the sole and exclusive remedy is re-performance of the applicable Launch Services. Except as expressly provided, all other warranties, express or implied, are disclaimed, including any implied warranties of merchantability or fitness for a particular purpose. Provider does not guarantee that the Launch Services will be completed within the specified Term.

8. Schedule A: Launch Services

Launch Services include a project manager to accelerate the launch process. The Launch Services may encompass the following phases:

  1. Discover: Introduction to stakeholders, project kick-off, contract review, goal alignment, and timeline proposal.
  2. Plan: Development of project plans, including sequencing, timeline, resource planning, and risk identification.
  3. Execute: Product configuration, weekly status updates, milestone reviews, and change management planning.
  4. Launch: Customer training, communication planning, and product launch.
  5. Post-Launch: Monitoring of success metrics and project support for 10 business days post-launch, including a formal communication to conclude the launch.
